1. The agreement
These Terms govern your use of the Ruver dashboard and related services (“the Service”), operated by [LEGAL_ENTITY_NAME] (“Ruver”, “we”, “us”). By creating an account or signing in you agree to these Terms on behalf of yourself and, where applicable, the business you represent. If you do not agree, do not use the Service.
2. Accounts and access
Accounts are created and assigned roles by a Super Admin in your organisation. You are responsible for keeping your password confidential and for everything done under your account. Tell us at once if you believe an account has been compromised.
Access to each area of the Service is governed by the permissions attached to your role. Attempting to reach data or functions outside your role is a breach of these Terms.
3. Marketplace connections
The Service connects to third-party marketplaces and storefronts (for example Amazon, Flipkart, Myntra, Meesho and Shopsy) using credentials and authorisations you provide. You confirm you are entitled to grant that access and that your use complies with each marketplace’s own terms and developer policies.
Actions you take in the Service — price changes, inventory updates, listing edits, order and return handling — are sent to those marketplaces on your instruction. You are responsible for the commercial consequences of those actions.
4. Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in breach of a marketplace’s rules;
- reveal, export or share buyer personal data beyond what fulfilling an order requires;
- probe, scan or test the Service’s security other than through an agreed engagement;
- resell, sublicense or provide the Service to third parties without our written consent;
- interfere with the Service’s operation or with other customers’ use of it.
5. Your data and privacy
You own the business data you connect to the Service. We process it only to provide the Service, as described in our Privacy & Data Handling Policy, which forms part of these Terms. Buyer personal data received from marketplaces is handled under the additional controls set out there.
6. Availability and changes
We aim to keep the Service available at all times but do not guarantee uninterrupted access. Marketplace APIs may be rate-limited, changed or withdrawn by their operators, which can affect sync timing and feature availability. We may modify or discontinue features with reasonable notice where practical.
7. Intellectual property
The Service, its software, design and content are owned by Ruver or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service for your business while these Terms are in force. Nothing here transfers ownership of the Service to you, or of your data to us.
8. Disclaimers and liability
The Service is provided “as is”. Figures shown in the dashboard — revenue, margin, health scores, forecasts — are derived from marketplace data and our models and are for operational guidance, not financial advice. Verify before relying on them for accounting, tax or legal purposes.
To the extent permitted by law, Ruver is not liable for indirect or consequential loss, lost profits, or loss arising from marketplace actions, third-party outages or data you supplied. Our total liability under these Terms is limited to the fees you paid for the Service in the twelve months before the claim.
9. Suspension and termination
We may suspend or end access if these Terms are breached, if a marketplace requires it, or if continued access would create a security risk. You may stop using the Service at any time; on termination we disconnect marketplace authorisations and handle stored data as the Privacy Policy describes.
10. Governing law
These Terms are governed by the laws of [GOVERNING_LAW_JURISDICTION], and its courts have exclusive jurisdiction over any dispute arising from them.
11. Changes to these Terms
We may update these Terms from time to time. The date at the top of this page shows the current version; material changes will be announced in the dashboard before they take effect. Continued use after that date is acceptance of the updated Terms.
